Personal Use Only

The Online Entrepreneurs Toolbar and Website is made available to you by Nye Morgan ("NM") for your personal (at home or at work), non-commercial use only. You may not modify, copy, publish, license, create derivative works from or sell any information or software associated with The Online Entrepreneurs Toolbar and Website. Furthermore, you may not use The Online Entrepreneurs Toolbar and Website in any manner that could damage, disable, overburden, or impair The Online Entrepreneurs Toolbar and Website services.

If you have comments on The Online Entrepreneurs Toolbar and Website or ideas on how to improve it, please contact us. Please note that by doing so, you also grant NM permission to use and incorporate your ideas or comments into The Online Entrepreneurs Toolbar and Website without further compensation.

Affiliate Program

In consideration of participating in the Program, you agree to the following terms:

1) Spam.

The Online Entrepreneurs Toolbar and Website in no way participates in mass unsolicited emailing (i.e. spamming), spyware or adware, and all affiliates are expected to adhere to this policy. Violation of this policy will result in the termination of this contract and your Online Entrepreneurs Toolbar and Website membership, with no refund.

2) Tracking Tags.

The tools, products and creative assets (collectively, "Assets") that are provided to you by The Online Entrepreneurs Toolbar and Website and/or Clickbank provide valuable information vital to the success of the Program, including information that helps make sure Transactions generated by you are properly attributed to you for Payout calculations. Thus, each of these Assets must be used in their intended manners as instructed by The Online Entrepreneurs Toolbar and Website. You agree that you will not corrupt, modify or disable the tracking functionality provided to you related to the Program.

3) Commission Payments.
You will receive 50% of the revenue as a commission from toolbar upgrade orders placed through your unique Affiliate URL link, less the charges outlined by ClickBank in their agreement http://www.clickbank.com/accounting.html. For a sale to generate a commission to an Affiliate, the customer must complete the toolbar upgrade order and remit full payment for the product ordered. Commissions will only be paid on sales which are made through qualified Affiliate links.

ClickBank will send a check for the applicable commissions within the framework of their policies http://www.clickbank.com/paychecks.html. If any order that generated a referral fee is returned by the customer, or if there are any returned checks or chargebacks, the amount will be deducted by ClickBank from the next payment due affiliate.

Intellectual Property

You acknowledge that NM owns all right, title and interest in and to The Online Entrepreneurs Toolbar and Website, including without limitation all Intellectual Property Rights. "Intellectual Property Rights" means any and all rights existing from time to time under patent law, copyright law, trade secret law, trademark law, unfair competition law, and any and all other proprietary rights, and any and all applications, renewals, extensions and restorations thereof, now or hereafter in force and effect worldwide. You agree not to modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or otherwise attempt to derive source code from The Online Entrepreneurs Toolbar and Website. You also agree to not remove, obscure, or alter our copyright notice, trademarks, or other proprietary rights notices affixed to or contained within The Online Entrepreneurs Toolbar and Website.

Termination

NM may terminate this Agreement and all or any of the rights granted hereunder or prohibit or suspend access to the The Online Entrepreneurs Toolbar and Website at any time, without prior notice or liability. Termination or suspension may occur, without limitation, if: (a) Member's use of the The Online Entrepreneurs Toolbar and Website violates this Agreement or any applicable policy or guideline, is potentially illegal or harmful to The Online Entrepreneurs Toolbar and Website or any other party, or could subject The Online Entrepreneurs Toolbar and Website to liability or additional expense; (b) providing all, or any of, The Online Entrepreneurs Toolbar and Website becomes technically or commercially unfeasible; or (c) Member fails to pay any charges due to The Online Entrepreneurs Toolbar and Website or any of its affiliates or partners. Member may terminate this Agreement at any time by ceasing all use of the The Online Entrepreneurs Toolbar and Website and deleting all copies of it in Member's possession or control.
